By accessing or using the application (the “Application”), you agree to be bound by these Terms. If you do not agree, you must not access or use the Application. --- ## 1. Eligibility and Registration Certain features of the Application may require registration. By registering, you agree to: - Provide accurate, current, and complete information; - Maintain the confidentiality of your login credentials; - Accept responsibility for all activities conducted under your account; - Notify us immediately of any unauthorised access or security breach. You are responsible for ensuring that your use of the Application complies with all applicable local, state, provincial, national, and international laws. --- ## 2. Acceptable Use You agree that you will: - Use the Application only for lawful purposes; - Comply with applicable intellectual property and copyright laws in your jurisdiction, including but not limited to: - **United States:** U.S. Copyright Act (Title 17 U.S. Code) and Digital Millennium Copyright Act (DMCA); - **California state law**, where applicable; - **United Kingdom:** Copyright, Designs and Patents Act 1988; - **Canada:** Copyright Act (R.S.C., 1985, c. C-42); - And any other applicable national or regional copyright legislation. - Abide by the specific conditions of use applicable to any individual content item; - Obtain required permissions before publishing, reproducing, distributing, modifying, or otherwise using content beyond permitted use; - Properly acknowledge the source of content in accordance with its usage conditions. You agree that you will not: - Distribute content to third parties where doing so violates copyright, licence terms, or these Terms; - Use automated scraping, harvesting, crawling, data mining, AI model training extraction, bots, or similar technologies without prior written consent; - Create or compile a database (electronic or otherwise) containing material downloaded from the Application unless expressly permitted; - Reverse engineer, decompile, or attempt to extract source code except where prohibited by law; - Interfere with the security, integrity, or availability of the Application; - Upload or transmit malicious or harmful code. --- ## 3. Intellectual Property Rights All intellectual property rights in the Application, including software, design, structure, trademarks, branding, and functionality, are owned by or licensed to Soutron Global. Content made available through the Application may be owned by Soutron Global, the client (Content Owner), or third parties. Nothing in these Terms transfers ownership of intellectual property rights. Except where expressly permitted, no content may be reproduced, modified, republished, uploaded, posted, transmitted, or distributed in any form without prior written permission. --- ## 4. Copyright Infringement (DMCA and International Equivalent) If you believe that content accessible via the Application infringes your copyright, you may submit a notice: - In the United States, in accordance with the **Digital Millennium Copyright Act (DMCA)**; - In other jurisdictions, in accordance with applicable copyright legislation. A valid notice must include: - Identification of the copyrighted work; - Identification of the allegedly infringing material; - Your contact information; - A statement of good faith belief; - A statement under penalty of perjury that the information provided is accurate (where required). Soutron Global reserves the right to remove or disable access to allegedly infringing material and to terminate repeat infringers where appropriate. --- ## 5. Accuracy of Information The Application and its Content Owners take reasonable care to ensure information is accurate and complete. However: - Some content may be supplied by third parties; - We do not guarantee accuracy, completeness, or timeliness; - Users should independently verify information before relying upon it. The Application is provided on an “as is” and “as available” basis. Interruptions, errors, or delays may occur. --- ## 6. Third-Party Links The Application may contain links to external websites or resources not controlled by Soutron Global. We: - Do not endorse third-party content; - Are not responsible for its availability, legality, or accuracy; - Accept no liability for external websites or services. Access to third-party resources is at your own risk. --- ## 7. Data Protection and Privacy Soutron Global processes personal information in accordance with applicable data protection and privacy laws, including: - **California Consumer Privacy Act (CCPA) / California Privacy Rights Act (CPRA)**; - Other applicable U.S. state privacy laws; - **UK GDPR and Data Protection Act 2018**, where applicable; - **EU GDPR**, where applicable; - **Canada’s Personal Information Protection and Electronic Documents Act (PIPEDA)**. We use your information to: - Administer your account; - Provide access to the Application; - Maintain records of acceptance of these Terms; - Communicate with you regarding the Application. Suspension and Termination Soutron Global reserves the right, at its sole discretion, to: - Suspend or terminate your access without notice if you breach these Terms; - Remove content that violates these Terms or applicable law; - Withdraw or suspend the Application where necessary. We shall not be liable for any loss arising from such suspension or withdrawal. --- ## 9. Limitation of Liability To the fullest extent permitted under California law and applicable U.S. federal law: - The Application is provided without warranties of any kind, whether express, implied, statutory, or otherwise; - We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. To the maximum extent permitted by law, Soutron Global shall not be liable for: - Indirect, incidental, consequential, special, punitive, or exemplary damages; - Loss of profits, revenue, data, goodwill, or business interruption. In no event shall Soutron Global’s aggregate liability exceed the amount paid by the applicable client for use of the Application in the twelve (12) months preceding the claim. Nothing in these Terms excludes or limits liability where such exclusion is prohibited by law, including liability for fraud or intentional misconduct. --- ## 10. Indemnification You agree to indemnify, defend, and hold harmless Soutron Global and its officers, employees, affiliates, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of: - Your breach of these Terms; - Your violation of applicable law; - Your infringement of third-party intellectual property rights. --- ## 11. Modifications to These Terms Soutron Global may update these Terms from time to time. Updated Terms become effective upon posting. Your continued use of the Application constitutes acceptance of the revised Terms. --- ## 12. Governing Law and Jurisdiction These Terms shall be governed by and construed in accordance with the laws of the **State of California**, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Application shall be subject to the exclusive jurisdiction of the state and federal courts located in **California, United States**, and you consent to the personal jurisdiction of such courts.
